MEALLDAY Seller Agreement

1. Who this covers

This Seller Agreement governs your use of MEALLDAY as an independent seller ("Vendor"). By applying to sell, listing a product, or accepting these terms, you agree to be bound by it. You are an independent business, not an employee, partner, agent, or joint venturer of MEALLDAY.

2. Your products & content

You represent and warrant that: (a) you own or have full rights to sell every product you list and to use all images, text, and trademarks in your listings; (b) your products are authentic, lawful, safe, and accurately described; (c) your products do not infringe any third party's intellectual property, and do not include counterfeit, stolen, recalled, hazardous, or prohibited goods. You retain ownership of your content and grant MEALLDAY a non-exclusive, royalty-free license to display, promote, and market your listings on and off the Platform.

3. Review & approval

MEALLDAY may review, approve, reject, delist, edit, or remove any listing at its sole discretion, with or without notice, including to enforce quality, legal, or brand standards. Approval of a listing is not an endorsement and does not transfer liability for the product to MEALLDAY.

4. Fees & commission

You agree to the plan you select (commission percentage and/or monthly subscription fee, as shown on your dashboard). MEALLDAY deducts its commission from each sale automatically via the payment processor. Subscription fees are billed in advance and are non-refundable except where required by law. MEALLDAY may change fees on 30 days' notice; continued selling after that constitutes acceptance.

5. Payments & payouts

Payments are processed through our third-party processor (e.g. Stripe Connect). You must maintain a valid connected payout account and complete any identity/KYC verification the processor requires. MEALLDAY does not hold your funds as a bank and is not responsible for processor delays, holds, or reserves. You are responsible for your own taxes, including sales tax, VAT/GST, and income tax, on your sales.

6. Fulfillment & customer service

You are solely responsible for fulfilling your orders accurately and promptly, for shipping, tracking, and for handling returns, refunds, warranty, and customer inquiries about your products in line with the Platform's posted returns policy and applicable law. Persistent late shipping, high defect/return rates, or unresolved complaints may result in suspension.

7. Promoters (sub-affiliates)

If you enroll promoters to market your products, you are responsible for the commissions you offer them, which are paid out of your share — not MEALLDAY's. You are responsible for your promoters' conduct and for ensuring their marketing is truthful, non-spammy, and legally compliant (including FTC disclosure of paid promotion). MEALLDAY may remove promoters who violate these terms.

8. Prohibited conduct

You may not: circumvent the Platform to complete off-platform sales that originated here; manipulate reviews; misuse customer data; list prohibited items; infringe IP; or attempt to access, alter, or disrupt the Platform, its code, settings, or other vendors' accounts or data. You receive a limited, restricted seller account and agree not to exceed its permissions.

9. Data & privacy

Customer data you receive to fulfill an order may be used only to fulfill that order and provide related service. You may not market to, sell, or retain customer data beyond what is necessary and lawful. You must comply with applicable privacy laws (including CCPA/CPRA and, where relevant, GDPR).

10. Suspension & termination

Either party may end this agreement at any time. MEALLDAY may suspend or terminate your account immediately for violations, legal risk, or harm to buyers or the brand. On termination, your listings may be unpublished or removed; outstanding obligations (including fulfilling open orders and honoring returns) survive.

11. Indemnification

You agree to indemnify and hold harmless MEALLDAY, its owners and affiliates from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your products, listings, conduct, your promoters, your taxes, or your breach of this agreement.

12. Disclaimers & limitation of liability

The Platform is provided "as is." To the maximum extent permitted by law, MEALLDAY disclaims all warranties and is not liable for indirect, incidental, or consequential damages, lost profits, or lost sales. MEALLDAY's total liability to you for any claim is limited to the fees you paid MEALLDAY in the 3 months before the claim.

13. Changes & governing law

MEALLDAY may update this agreement; the current version is always posted here. Continued selling means acceptance. This agreement is governed by the laws of the State of North Carolina, USA, without regard to conflict-of-law rules, and disputes will be resolved in the state or federal courts located there, unless applicable law requires otherwise.

MEALLDAY Promoter / Affiliate Terms

1. The program

MEALLDAY promoters ("Affiliates") earn a commission for driving sales through a unique referral link. Promoters may be enrolled directly by MEALLDAY or by a Vendor to promote that Vendor's products. Commissions for Vendor-enrolled promoters are paid from that Vendor's share.

2. Eligibility & honest marketing

You must be 18+ and provide accurate payout information. You must clearly disclose your affiliate relationship in all promotions as required by the FTC and applicable law (e.g. "#ad" / "paid partnership"). You may not make false, misleading, or unsubstantiated claims about products, prices, or results.

3. Prohibited promotion

No spam, unsolicited bulk email/DMs, misleading subject lines, cookie stuffing, typosquatting, bidding on MEALLDAY trademarks in paid search, fake accounts, bot traffic, self-referrals, or promotion on sites containing illegal, hateful, or adult content. Violations void unpaid commissions and may end your participation.

4. Commissions & payment

Commission rates are shown in your dashboard and may be tiered by performance. A sale qualifies only when it completes, is paid, and is not refunded, charged back, or cancelled within the return window. MEALLDAY (or the Vendor) may withhold or reverse commissions for refunded, fraudulent, or policy-violating orders. Minimum payout thresholds may apply.

5. Tracking & attribution

Attribution is via referral code/cookie with a defined lookback window (currently 30 days, last-click). MEALLDAY's records are the final authority on referred sales. We do not guarantee tracking against ad blockers, privacy settings, or cross-device journeys.

6. Independent relationship

You are an independent contractor, not an employee or agent. You may not represent yourself as MEALLDAY, make commitments on its behalf, or use its accounts. You are responsible for your own taxes on commissions earned.

7. Termination & changes

Either party may terminate at any time. On termination, qualified unpaid commissions earned before termination are paid per the normal schedule unless terminated for cause (fraud/abuse), in which case they may be forfeited. MEALLDAY may modify rates, terms, or the program at any time with notice posted here.

8. Liability

The program is provided "as is." MEALLDAY is not liable for indirect or consequential damages and total liability is limited to commissions owed to you. You indemnify MEALLDAY against claims arising from your promotional conduct.

MEALLDAY Marketplace Policy

Buying from MEALLDAY sellers

Some products on MEALLDAY are sold by independent third-party sellers ("Vendors"), not by MEALLDAY directly. Vendor products are labeled on their listing. When you buy a Vendor product, your purchase contract is with that Vendor, who is responsible for the item, its description, shipping, and returns.

Our role

MEALLDAY provides the platform and payment facilitation and reviews listings for quality, but does not manufacture, inspect, store, or ship Vendor products and does not guarantee them. We require Vendors to meet our standards and to honor our posted returns policy, and we act in good faith to remove bad actors.

Returns, problems & buyer protection

Vendor products follow the standard MEALLDAY returns window (15 days for eligible items; underwear and other intimate items are final sale for hygiene). If a Vendor fails to resolve a legitimate issue, contact us at drops@meallday.com and we will help mediate. Pay only through the on-site checkout — never off-platform.

Your data

To fulfill your order, necessary details (name, shipping address) are shared with the Vendor solely to complete and service that order. Vendors are contractually prohibited from using your data for anything else. See our Privacy Policy for full details.
